Terms of Service

1. Scope

These Terms of Service (“Agreement”) are between you (“Customer”) and Conatus Systems Corporation, DBA Conatus (“we,” “us,” or “our”). By using our website or subscribing to our services (collectively, the “Services”), you agree to these Terms. If you do not agree, please do not use the Services.

2. Services 

2.1 Core Service: Conatus will provide a software-as-a-service platform accessible via conatus-ai.com that analyzes how certain AI platforms treat specified products, services, and brands.

2.2. Access and Use: Customers may access and use the Services during the subscription term for internal business purposes only. Access is limited to authorized users within Customer’s organization.

2.3 Service Limits: Conatus may impose reasonable limits (e.g., query volume, report count).

2.4 Restrictions: Customer may not:

• resell or share the Service outside its organization,

• reverse engineer or copy the Service,

• use it for illegal, harmful, or competing purposes.

2.5 No Guaranteed Results: Unless explicitly agreed, Conatus does not guarantee specific outcomes or results from using the Service.

3. Availability & Modifications

3.1 Service Modifications & Interruptions: Conatus may modify, suspend, or discontinue the Services (or any part) at any time with reasonable notice.We strive to maintain reasonable uptime but do not guarantee uninterrupted operation.

3.2 Third-Party Components: If our Service relies on third-party providers or data sources, availability of those external services is outside of our control; if a third-party ceases to provide a necessary component, we will inform you and strive to find a suitable alternative or solution. 

4. Customer Data.

Customer grants Conatus a limited license to use Customer Data only to provide and improve the Services. Conatus will not use Customer Data to train AI models. Upon termination or discontinuation of the Services, Conatus may delete Customer Data after a reasonable period (e.g., 30 days).

5. Customer Responsibilities

Customer is responsible for: (a) accuracy and legality of Customer Data; (b) ensuring authorized use by its users; (c) compliance with all applicable laws.

6. Suspension

Conatus may suspend access if: (a) payment is 30 days or more overdue; (b) Customer violates these Terms, or (c) continued access would create risk or liability. We will provide notice when practical.

7. Fees & Taxes

7.1 Fees: Fees are as described on our website or invoice. Payments are due as stated at purchase. 

7.2 Refund: Fees are non-refundable. You may cancel at any time, but cancellation will take effect at the end of the current billing cycle. If Conatus permanently discontinues the Service during your active subscription, we will refund any unused prepaid portion of your subscription.

7.3 Taxes: Customer is responsible for any sales, use, GST, value-added, withholding, or similar taxes or levies that apply to the Order, whether domestic or foreign, other than Conatus’ income tax (“Taxes”). Fees are exclusive of all Taxes.

8. Limitation of Liability

To the fullest extent permitted by law, Conatus will not be liable for indirect, incidental, or consequential damages arising from your use of the Service. Our total liability for any claim related to the Service will not exceed the amount paid by you to use the Service in the 12 months preceding the claim.

9. Indemnification

Customer agrees to indemnify and hold harmless Conatus against claims arising from Customer’s use of the Services or violation of this Agreement.

10. Term and Termination

10.1 Term: This Agreement begins when you first access the Services and continues until terminated.

10.2 Termination by Either Party: Either party may terminate (a) A monthly plan anytime, effective at the end of the billing cycle; (b) a longer-term plan with 30 days’ notice before renewal.

10.3 Termination by Conatus: Conatus may terminate this Agreement or discontinue the Services at any time upon 30 days’ notice. If Conatus discontinues the Services, we will make reasonable efforts to notify active subscribers and refund any unused prepaid fees.

10.4 Effect of Termination: Upon termination, access to the Services will cease. Conatus may delete Customer Data 30 days after termination.

11. Governing Law

This Agreement is governed by Delaware law. Any disputes will be resolved in the state or federal courts located in Delaware.

12. Publicity

Conatus may identify Customer by name and logo as a user of the Services, unless Customer requests otherwise in writing.

13. Changes to Terms

We may update these Terms with notice (e.g., by email). Continued use after changes take effect means acceptance.
